1. Acceptance of Terms

By accessing or using Fair Value ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Fair Value is operated in New Zealand and these Terms are governed by New Zealand law.

2. Description of Service

Fair Value provides automated business valuation reports based on financial data and business information you provide. The Service uses algorithmic analysis and industry benchmarks to generate valuation estimates.

Important: Fair Value is a valuation tool, not a professional valuation service. Our reports are for informational purposes only and should not be relied upon as the sole basis for making business decisions.

3. User Accounts

To use the Service, you must create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use
Providing accurate and complete information

4. Payment Terms

Fair Value offers two pricing options:

One-Time Valuation: $149 NZD for a single business valuation report
Monthly Subscription: $149 NZD/month for unlimited valuations and additional features

All prices are in New Zealand Dollars (NZD) and include GST where applicable. Payment is processed securely through Stripe.

Refund Policy: Due to the instant delivery of digital reports, all sales are final. We do not offer refunds once a valuation report has been generated and delivered.

Subscription Cancellation: You may cancel your monthly subscription at any time. Cancellation will take effect at the end of your current billing period.

5. Data Accuracy and Limitations

You acknowledge and agree that:

Valuation reports are estimates based on the data you provide and algorithmic analysis
The accuracy of our reports depends on the accuracy and completeness of your input data
Fair Value does not guarantee the accuracy, completeness, or reliability of any valuation
Our reports should not replace professional valuation services for legal, tax, or transaction purposes
Market conditions, business circumstances, and other factors may affect actual business value
Fair Value is not liable for any decisions made based on our reports

6. Prohibited Uses

You agree not to:

Upload false, misleading, or fraudulent information
Use the Service for any illegal purpose
Attempt to reverse engineer or copy our valuation algorithms
Resell or redistribute our reports without permission
Use automated systems to access the Service without authorization
Interfere with or disrupt the Service or servers

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and valuation methodologies, are owned by Fair Value and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the financial data you upload. By using the Service, you grant Fair Value a license to use your data solely for the purpose of generating your valuation report.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Fair Value does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW, FAIR VALUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to Fair Value in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Fair Value, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
